Terms and Conditions of Service

1. Service Agreement and Scope

All construction projects require a formal written agreement outlining the scope of work, project timeline, deliverables, and payment terms. The scope of services will be clearly defined in the contract documents, including specifications, drawings, and any amendments agreed upon by both parties. Any changes to the original scope must be documented through a written change order and approved by both parties before implementation. We commit to delivering high-quality construction services in accordance with industry standards and applicable building codes.


2. Payment Terms and Conditions

Payment schedules will be established in the service agreement and typically include an initial deposit, progress payments based on project milestones, and a final payment upon completion. All payments must be made within the timeframes specified in the contract. Late payments may result in project delays and may incur additional charges as specified in the agreement. We reserve the right to suspend work if payments are not received according to the agreed schedule. All prices quoted are subject to applicable taxes and fees.


3. Project Timeline and Delays

We strive to complete all projects within the agreed timeline. However, project schedules may be affected by factors beyond our control, including but not limited to adverse weather conditions, material shortages, labor disputes, client-requested changes, site conditions, permit delays, or other unforeseen circumstances. In such cases, we will notify the client promptly and work to establish a revised timeline. We shall not be held liable for delays caused by circumstances beyond our reasonable control.


4. Client Responsibilities

  • Provide timely access to the construction site and ensure all necessary permits are obtained
  • Make prompt decisions regarding design selections, material choices, and change orders
  • Ensure timely payments according to the agreed schedule
  • Disclose any site conditions, restrictions, or requirements that may affect the project
  • Maintain clear communication and respond to requests for information in a timely manner
  • Provide accurate project specifications and requirements at the outset of the project
  • Ensure that the site is cleared of any obstacles before work commencement

5. Warranties and Guarantees

We provide warranties on our workmanship as specified in the service agreement. The warranty period typically begins upon project completion and final acceptance. Our warranties cover defects in workmanship but do not extend to damage caused by normal wear and tear, improper maintenance, modifications made by others, or acts of nature. Material warranties are provided by the respective manufacturers and will be transferred to the client upon project completion. Any warranty claims must be reported promptly in writing.


6. Safety and Compliance

We are committed to maintaining the highest safety standards on all our construction sites. All work will be performed in compliance with applicable safety regulations, building codes, and industry standards. We maintain appropriate insurance coverage including general liability and workers' compensation. Clients and visitors must comply with all site safety requirements when present on the construction site. We reserve the right to remove any individual from the site who fails to comply with safety protocols.


7. Limitation of Liability

Our liability under this agreement shall be limited to the total contract value. We shall not be liable for any indirect, incidental, consequential, or special damages arising from the performance or non-performance of services. This includes but is not limited to loss of profits, business interruption, or loss of business information. In no event shall our total liability exceed the amount paid by the client for the specific services that gave rise to the claim.


8. Dispute Resolution

In the event of any dispute arising from this agreement, both parties agree to first attempt resolution through good faith negotiations. If negotiations fail, the parties may pursue mediation before resorting to litigation. Any legal proceedings shall be conducted in accordance with the laws of the jurisdiction specified in the service agreement. The prevailing party in any legal action shall be entitled to recover reasonable attorney fees and costs.


9. Termination

Either party may terminate the agreement under conditions specified in the service contract. In the event of termination, the client shall pay for all work completed up to the date of termination, including materials ordered and any costs incurred. We reserve the right to terminate the agreement immediately if the client fails to make payments as agreed, interferes with the work, or breaches any material terms of the agreement. Upon termination, we will provide a final accounting of all charges and payments.


10. Intellectual Property

All designs, plans, specifications, and other documents prepared by us remain our intellectual property unless otherwise agreed in writing. The client receives a license to use these documents solely for the intended project. Reuse of our designs or documents for other projects without our written consent is prohibited and may result in additional fees or legal action.


11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes but is not limited to business strategies, technical specifications, pricing information, and trade secrets. The confidentiality obligation shall survive the termination of the agreement.
